1. Who We Are

Elizabeth Care Consulting Ltd ("ECC", "we", "us", "our") is a company registered in England and Wales,
company number 17258169, registered office 8 Atherley Road, Hayling Island, PO11 0JS. We are
registered with the Information Commissioner's Office, registration reference ZC143634.
These Terms govern access to and use of the ECC Governance Compliance Suite ("the Suite"), a browser-
based compliance tool for adult social care providers, and any related services we provide.

2. The Service

The Suite provides CQC governance and compliance tools designed for adult social care providers,
including mock inspection preparation, evidence organisation, and related quality-assurance features
aligned to the current CQC framework.

The Suite is provided on a subscription basis at £49 per month per registered service or location. "Per
registered service or location" means each individually CQC-registered service you operate requires its
own subscription.

We are not VAT-registered at the date of this document, as we are below the current VAT threshold. If
this changes, VAT will be added to the price shown at checkout and this document will be updated
accordingly.

3. Account Registration

To use the Suite you must create an account via our platform. You must provide accurate, current
information and keep your login details secure. You are responsible for all activity that occurs under your
account.

The Suite is intended for use by adult social care providers and their staff for legitimate compliance
purposes. We may refuse or suspend registration where we reasonably believe it is being misused.

4. Payment and Billing

Subscriptions are billed monthly in advance via our payment processor, Stripe. By subscribing you
authorise recurring monthly charges to your chosen payment method until you cancel.
If a payment fails, we will attempt to notify you and retry payment. If payment remains outstanding after
7 days, we may suspend access to the Suite until payment is resolved.

Prices may change with at least 30 days' notice to active subscribers. Continuing to use the Suite after a
price change takes effect constitutes acceptance of the new price.

5. Cancellation

You may cancel your subscription at any time via the account dashboard in your Suite platform.
Cancellation is self-service and requires no notice period to initiate.

When you cancel, your subscription remains active for the remainder of the period you have already paid
for. For example, if you pay monthly and cancel partway through a billing month, you will retain full
access to the Suite until the end of that paid month, and you will not be charged again after that. No
further payment is taken once cancellation has been requested.

6. Refunds

Subscription fees are generally non-refundable once a billing period has begun, reflecting that access to
the Suite is provided for the full period paid for, as set out in Clause 5.
Where a payment has genuinely been taken in error — for example, a duplicate charge, an incorrect
amount, or a payment taken after a cancellation should have taken effect — we will issue a full refund on
request.
This does not affect your statutory rights, including your rights under the Consumer Rights Act 2015
where the Suite is not provided with reasonable care and skill.

7. Your Content and Data

The Suite is built so that the compliance information you enter — including any content relating to your
service, staff, or people you support — is stored locally in your browser ("local storage") and is not
transmitted to or held on ECC's servers. This means we do not have access to, and cannot recover, the
content you enter into the working tools of the Suite. You are responsible for your own back-ups of this
content.

Separately, we do hold basic account information (such as your name, organisation, and email address)
and billing information necessary to operate your subscription. See our Privacy Notice for full details of

8. Acceptable Use

You agree not to:
● Use the Suite for any unlawful purpose, or in a way that breaches any applicable regulation;
● Attempt to reverse-engineer, resell, sub-license, or white-label the Suite without our written
agreement;
● Interfere with or disrupt the operation or security of the Suite;
● Misrepresent your CQC registration status or use the Suite to falsify compliance evidence.

9. Availability and Changes to the Service

We aim to keep the Suite available at all times but do not guarantee uninterrupted access. We may carry
out maintenance, updates, or changes to features from time to time, including to reflect changes in the
CQC inspection framework.

We will give reasonable notice of any change that materially reduces the functionality you are paying for.

10. Limitation of Liability

The Suite is a tool to help you organise and evidence your own compliance activity. It does not replace
your own professional judgement, your registered manager's responsibilities, or formal regulatory advice,
and using the Suite does not guarantee any particular CQC rating or inspection outcome.
To the fullest extent permitted by law, our liability to you for any loss arising from your use of the Suite is
limited to the fees you have paid to us in the 12 months preceding the claim. Nothing in these Terms
excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other
liability which cannot lawfully be excluded.

11. Termination by Us

We may suspend or terminate your access to the Suite if you breach these Terms, if payment remains
outstanding as set out in Clause 4, or if we reasonably believe your use poses a risk to us, other users, or
the integrity of the Suite. Where reasonably practicable, we will give you notice and an opportunity to
remedy the issue first.

12. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have
exclusive jurisdiction over any dispute arising from them.
